1. Eligibility
The Fractalnaut Fantasy AI pilot Series Competition (the “Competition”) is only open to individuals (“Individuals”) and teams who are eighteen (18) years of age or older as of the date of entry (collectively, “Participants”) and who otherwise meet the Participation Requirements (as defined below). If a Team is entering the Competition, they must appoint and authorize one individual (the “Representative”) to represent, act, and enter a submission (“Submission”), on their behalf.
The Competition is not open to (i) employees, advisors, stockholders, and contractors of Abyss AI Inc. and its respective affiliates, subsidiaries, advertising and promotion agencies, suppliers, advisors, and their immediate family members and/or those living in the same household of each; (ii) individuals who are residents of or domiciled in a country, state, province, or territory that is under US sanction or where the US or local laws otherwise prohibit participating or receiving a prize in the Competition; or (iii) government entities, including sovereign states and all governmental entities as well as quasi-governmental entities, including but not limited to government corporations, state-owned or state-controlled enterprises, regional transportation authorities, or state-owned universities or hospitals.
The Competition is subject to all applicable laws and regulations and is void where prohibited. In these rules (“Official Rules” or “Rules”), unless the context otherwise clearly requires, words used in the singular include the plural, the plural includes the singular.
2. Sponsorship
The host, administrator, and sponsor of the Competition is Abyss AI Inc., a Delaware corporation (the “Sponsor”).
3. Agreement to Rules
By participating in the Competition, Participants agree to be fully and unconditionally bound by these Rules. Each Participant represents and warrants that Participant meets the eligibility requirements set forth herein.
4. Entry Period
Submissions will be accepted online starting on or about April 25th, 2025 and ending on May 30, 2025. All online Submissions must be received by May 30, 2025 at 11:59 PM EST (“Deadline”). Submissions received after the Deadline will not be considered.
5. How to Enter
To create a Submission for entry into the Competition, Participants must create an account, fill out the information on the form on the Sponsor’s landing page at getabyss.com (including name and email address), and submit a video (“Participation Requirements”). If teams are allowed, outline the submission process for Representatives. Only one Submission per email address is permitted. Participants may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent these Rules. Participants are not required to conduct any transaction to participate, and no purchase is necessary to enter. A Participant’s chances of winning do not increase with a purchase. For avoidance of doubt, no Submissions will be accepted via phone, chat, email, or otherwise. Participants must use the website detailed above. The Submission must fulfill all Participation Requirements, as specified, to be eligible to win a prize. Submissions that do not meet the Participation Requirements or are out of compliance with these Rules may be disqualified at the sole discretion of the Sponsor. If a Participant uses fraudulent methods or otherwise attempts to circumvent the Rules, the Submission may be removed from eligibility at the sole discretion of the Sponsor.
6. Submission Requirements
Submissions must be original, high-quality, animated short videos (between 7 and 10 minutes in duration) generated using AI tools. Submissions cannot have been published on any other platform or website. So long as English subtitles are provided in the Submission, Submissions in all languages are welcome.
7. Submission Rights and Other Rights
For purposes of these Rules, the term “IP Rights” refers to all intellectual property rights under applicable laws including, but not limited to, all patent, copyright, trade secret, and trademark rights, as applicable. The Sponsor and Participant agree and acknowledge that the Participant owns all IP Rights, title, and interest in and to the Submission. By entering the Competition, the Participant grants Sponsor a fully paid-up, irrevocable, royalty-free, non-exclusive, worldwide, perpetual license to transmit, distribute internally or externally, display publicly, and use for Sponsor’s promotional purposes, the Submission, in all media. This license includes but is not limited to, posting or linking to the Submission on Sponsor’s and its affiliates’ websites and applications, including the Competition website, and display and promotion of the Submission in any other media, worldwide. Participants represent and warrant that the Submission is original and may be publicly performed, publicly displayed, or otherwise used pursuant to these Rules without violating or infringing upon the IP Rights of any third parties and without requiring additional compensation.
Excluding Submissions, all IP Rights related to this Competition, including but not limited to copyrighted material, trademarks, trade names, logos, designs, promotional materials, web pages, source codes, drawings, illustrations, slogans and representations are owned or used under license by the Sponsor. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owners is strictly prohibited.
If Participant is selected as a Winner, Sponsor will have the option to purchase the IP Rights subsisting in the Submission in connection with an ongoing production agreement with the Sponsor, as more fully described below.
8. Prize(s)
Competition winners (“Winner(s)”) will be announced thirty (30) days after Winners will receive –
- Jury Award - $7,000
- Audience Award first place - $2,000
- Audience Award second place - $1,000
In addition to receiving $7,000, the Jury Award Winner will have the opportunity to pitch their Submission to Sponsor for inclusion on the Aby.One platform.
The specifics of each prize (each, a “Prize”) shall be solely determined by the Sponsor. No substitution, transfer, or assignment of a Prize to others or request for the cash equivalent of a Prize is permitted. Any and all Prize related expenses, including without limitation any and all federal, state, and/or local taxes or wiring fees shall be the sole responsibility of each Winner. Acceptance of a Prize constitutes permission for the Sponsor to use Winner’s name, likeness, trade name, trademark, and Submission for purposes of Sponsor’s advertising and trade without further compensation, unless prohibited by applicable law.
9. Selection and Notification of the Winner
The Jury Award winner will be determined by one or more person(s) selected by the Sponsor. The Jury Award will be selected based on originality, quality, and creativity. The Audience Award winner will be selected by a plurality vote administered on Sponsor’s website. Winners will be notified via email to the email address they used to enter the Competition with within thirty (30) days following the Winner selection. The Sponsor shall have no liability for a Winner’s failure to receive notices or for Winners’ provision of incorrect or otherwise non-functioning contact information. If the selected Winner cannot be contacted, is ineligible, fails to claim the Prize within thirty (30) days from the time the Prize notification was sent, or fails to timely return a completed and executed declaration and releases as required, the Prize may be forfeited and an alternate winner selected.
The receipt by Winner of the Prize offered in this Competition is conditioned upon (i) compliance with the Participation Requirements; (ii) compliance with these Rules and any and all federal and state laws and regulations; and (iii) the provision of certain information, including completing and submitting any tax or other forms necessary for compliance with applicable withholding and reporting requirements. United States residents are required to provide a completed form W-9 and residents of other countries are required to provide a completed W-8BEN form. Winners are also responsible for complying with foreign exchange and banking regulations in their respective jurisdictions and reporting the receipt of the Prize to relevant government departments or agencies, if necessary. The Sponsor reserves the right to withhold a portion of the Prize amount to comply with the tax laws of the United States or other jurisdiction, or those of a Winner’s jurisdiction. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL RESULT IN SUCH WINNERS’ DISQUALIFICATION AS WINNER OF THE CONTEST AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
10. Publicity
By participating in the Competition, Participants consent to the use of their Submission, name, voice, and likeness, in any existing or not yet created media, worldwide without further payment or consideration or right of review, unless prohibited by applicable law. Authorized use includes advertising and promotional purposes. The duration of a Participant’s consent is for a period of three years following the conclusion of the Competition. This consent applies, as applicable, to all members of a Team, and the Representative represents and warrants that it has authority to provide such consent on the Teams’ behalf.
11. Entry Conditions and Release
By entering the Competition, Participants agree to the following:
- The relationship between the Participant and the Sponsor, is not a confidential, fiduciary, or other special relationship;
- The Participant will be bound by and comply with these Rules and the decisions of the Sponsor and Competition Judges which are binding and final in all matters relating to the Competition;
- The Participant releases, indemnifies, defends, and holds harmless the Sponsor, and their respective parent, subsidiary, and affiliated companies, the Prize suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Competition, and all of their respective past and present officers, directors, employees, agents and representatives (hereafter the “Indemnified Parties”) from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees), including but not limited to violation of the right of publicity, infringement of trademark, copyright or other IP Rights, arising out of or relating to a Participant’s entry, creation of Submission or entry of a Submission, participation in the Competition, acceptance or use or misuse of the Prize (including any travel or activity related thereto) and/or the broadcast, transmission, performance, exploitation or use of the Submission as authorized and licensed by these Rules;
- The Participant warrants and represents that their Submission (a) does not promote discrimination against or contempt for other people on the basis of race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease and (b) does not contain material that is indecent, lewd, pornographic, obscene, profane, hateful, defamatory, slanderous or libelous, or that promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), or violence, illegal conduct, or animal cruelty.
Without limiting the foregoing, the Indemnified Parties shall have no liability in connection with:
- Any incorrect or inaccurate information, whether caused by the Sponsor’s electronic or printing error, or by any of the equipment or programming associated with or utilized in the Competition;
- Technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines, internet connectivity or electronic transmission errors, or network hardware or software or failure of the Competition website;
- Unauthorized human intervention in any part of the entry process or the Competition; technical or human error which may occur in the administration of the Competition or the processing of Submissions; and
- Any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from the Participant’s participation in the Competition or receipt or use or misuse of any Prize.
The Indemnified Parties are not responsible for incomplete, late, misdirected, damaged, lost, illegible, or incomprehensible Submissions or for address or email address changes of the Participants. Proof of sending or submitting a Submission will not be deemed to be proof of receipt of that Submission by the Sponsor.
If for any reason any Participant’s Submission is determined to have not been received or been erroneously deleted, lost, or otherwise destroyed or corrupted, the Participant’s sole remedy is to request the opportunity to resubmit its Submission. Such a request must be made promptly after the Participant knows or should have known there was a problem and will be determined at the sole discretion of the Sponsor.
12. Terms & Conditions
The Sponsor will not award a Prize if there are no eligible Submissions. The Sponsor reserves the right, in their sole discretion, to cancel, terminate, suspend, or modify the Competition, or any part of it, in the event of a technical failure, fraud, or any other factor or event that was not anticipated or is not within the Sponsor’s control that may affect the administration, security, fairness or proper conduct of the Competition. In such case, the Sponsor may select the Winners from all eligible Submissions received prior to and/or after (if appropriate) the action taken by the Sponsor. The Sponsor reserves the right at its sole discretion to disqualify or remove from the platform any Participants who tamper or attempt to tamper with the entry process or the operation of the Competition or website or violates these Rules.
Any attempt by an individual to deliberately damage any website or undermine the legitimate operation of the Competition may be a violation of criminal and civil laws and should such attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.
The Sponsor has the right, in its sole discretion, to maintain the integrity of the Competition, to void votes for any reason, including but not limited to, multiple Submissions from the same use from different IP addresses, multiple Submissions from the same computer in excess of that allowed by Competition Rules, or the use of bots, macros or scripts or other technical means of entering.
These Rules are subject to change at any time, including the rights or obligations of the Participants and the Sponsor. The Sponsor will post the terms and conditions of the amended Rules on the Competition website. To the fullest extent permitted by law, any amendment will become effective at the time specified in the posting of the amended Rules or, if no time is specified, the time of posting.
The Sponsor’s failure to enforce any term of these Rules shall not constitute a waiver of that provision. Should any provision of these Rules be or become illegal or unenforceable in any jurisdiction whose laws or regulations may apply to a Participant, such illegality or unenforceability shall leave the remainder of these Rules, including the Rule affected, to the fullest extent permitted by law, unaffected and valid.
By entering the Competition, the Participant agrees to receive email newsletters periodically from the Sponsor. Participants may opt-out of receiving this communication at any time by clicking the unsubscribe link in the newsletter.
If at any time prior to the Deadline, a Participant or prospective Participant believes that any Rule is or may be unclear or ambiguous, they must submit a written request for clarification by emailing the Sponsor at contact@getabyss.com.
13. Disputes
THE CONTEST IS GOVERNED BY THE LAW OF DELAWARE, UNITED STATES, WITHOUT RESPECT TO CONFLICT OF LAWS DOCTRINES. As a condition of participating in the Competition, the Participant agrees that any and all disputes which cannot be resolved between the parties and causes of action arising out of or connected with this Competition, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Delaware having jurisdiction. Further, in any such dispute, under no circumstances will either party be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than Participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Competition), and the parties further waive all rights to have damages multiplied or increased.
14. Terms of Service
These Rules incorporate by reference Sponsor’s Terms of Service and Privacy Policy.
15. Social Media Platforms
This Competition hosted by the Sponsor is in no way sponsored, endorsed, administered by, or associated with Facebook, X (formerly Twitter), Instagram, Youtube, or any other social media platform.
16. Affirmation of Acceptance and Agreement to All of the Official Rules
By entering the Competition, Participants acknowledge that they have reviewed these Rules, understand them, and affirmatively agree and accept the Rules of the Competition.
